Annual Reports

Keep your Montana LLC in good standing

Every Montana LLC must file an annual report with the Secretary of State by April 15. We track the deadline, prepare the report from the information on file, and submit it so your company never lapses.

The annual report calendar

The same four dates every year. Miss the last one and the State dissolves the company.

Jan 1
Filing opens

The Secretary of State opens annual report filing for the year. We begin preparing reports for every entity we represent.

Apr 15
Due date

Reports filed by this date are on time. The State filing fee is $20 for an LLC.

After Apr 15
Late

A $15 late fee is added and the LLC shows as “not in good standing” in the State’s records until the report is filed.

Dec 1
Dissolution

An LLC that still has not filed is involuntarily dissolved by the Secretary of State. Reinstatement requires additional filings and fees.

Fees and dates per the Montana Secretary of State; confirm current amounts at sosmt.gov.

State fees vs. our fee

What you pay the State and what you pay us are always shown separately.

Our service fee

Our service fee is a separate, private charge for the work we perform on your behalf. It is not a government fee and is shown on your order before you pay. State fees are always listed as their own line item.

What we file for you

The Montana annual report confirms the information the State holds on your LLC: its principal office address, registered agent, and the names of its members or managers. It is not a tax return and does not report income.

Our annual report service includes:

  • A reminder in January with the information we have on file, so you can confirm it or send corrections.
  • Preparation and electronic filing of the report with the Secretary of State before April 15.
  • The State’s filed confirmation posted to your client dashboard.
  • Monitoring of your LLC’s standing throughout the year, with notice to you if the State flags anything.

If your LLC has already fallen out of good standing, we can file the late report and, where necessary, the reinstatement paperwork to restore it.

Reinstatement

A dissolved LLC cannot hold title to vehicles or renew registrations. Contact us and we will confirm the LLC’s current status with the State and file what is needed to bring it back.
